Version 1 · effective 13/07/2026

MECHAXIS PLATFORM TERMS OF USE Effective date: 13 July 2026 1. Agreement and parties These Terms govern access to and use of the MechAxis workshop management software, websites, mobile experiences, APIs and related services (the Platform). “MechAxis”, “we”, “us” and “our” refer to the operator of the Platform. “Customer”, “you” and “your” refer to the organisation subscribing to the Platform and each authorised user acting for it. By creating an account, accepting an invitation, or using the Platform, you agree to these Terms. If you act for an organisation, you warrant that you have authority to bind it. 2. The Platform The Platform assists automotive businesses with bookings, customer and vehicle records, inspections, quotes, job cards, inventory, purchasing, invoices, payments, communications, reporting and related administration. The Platform is a business tool and does not replace professional mechanical, legal, tax, accounting, safety or regulatory advice. You remain responsible for workshop decisions, work quality, roadworthiness assessments, pricing, tax treatment, employment obligations and legal compliance. 3. Accounts and security You must provide accurate account information, keep credentials confidential, use multi-factor authentication when required, and promptly notify us of suspected unauthorised access. Accounts are personal and must not be shared. You are responsible for activity carried out through your users except to the extent caused by our breach. We may suspend access where reasonably necessary to protect the Platform, customers, individuals or data. 4. Authorised use You may use the Platform for your internal business operations during an active subscription or trial. You must not misuse the Platform, attempt unauthorised access, interfere with security or availability, introduce malicious code, scrape or reverse engineer protected parts of the service, use the Platform unlawfully, or upload content that infringes another person’s rights. API credentials must be protected and used only for the organisation to which they were issued. 5. Customer data and instructions You retain ownership of information, records, documents and content submitted by or for you (Customer Data). You authorise us and our service providers to host, process, transmit, back up and otherwise use Customer Data as needed to provide, secure, support and improve the Platform, meet legal obligations, and follow your lawful instructions. You are responsible for having a lawful basis to collect and use Customer Data, giving required privacy notices, and obtaining valid communication and marketing consents. 6. Privacy and communications Personal information is handled in accordance with our Privacy Policy and applicable Australian privacy law. Where you use email or SMS features, you must comply with the Spam Act 2003, Do Not Call Register Act 2006 and other applicable rules, including sender identification, consent and functional unsubscribe mechanisms. Service and transactional messages may be treated differently from marketing messages under applicable law. 7. Data security, retention and deletion We use reasonable technical and organisational safeguards designed to protect information against misuse, interference, loss and unauthorised access, modification or disclosure. No system is completely secure and you must maintain appropriate internal controls and backups for information critical to your business. We retain Customer Data while an account is active and afterwards for a limited period reasonably required for account closure, backup cycles, dispute handling, fraud prevention, security, tax, accounting and other legal obligations. When information is no longer reasonably required or legally required to be retained, we will take reasonable steps to delete it, de-identify it, or put it beyond use. Backup copies may remain until overwritten through ordinary retention cycles. You may request export or deletion subject to identity verification, technical feasibility, third-party rights and legal retention requirements. 8. Service providers and data location We may use reputable hosting, database, authentication, payment, email, SMS, monitoring and support providers, including providers operating outside Australia. Those providers may process data only for contracted services and subject to appropriate protections. You authorise these disclosures as described in the Privacy Policy. 9. Subscriptions, trials and payment Plan features, usage limits, prices, billing intervals and applicable taxes are shown at checkout or in the subscription area. Trials end at the stated time. Unless cancelled before renewal, paid subscriptions renew for the selected billing period and authorised payment methods may be charged. Fees are non-refundable except where required by law or expressly agreed. We may change future pricing on reasonable notice; changes do not alter a prepaid billing period. Stripe or another payment provider may process billing information under its own terms. 10. Availability and changes We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security events, internet failures and third-party services may affect access. We may improve, replace or discontinue features, provided we do not materially reduce the core paid service without reasonable notice where practicable. 11. Intellectual property and feedback We and our licensors own the Platform, software, designs, documentation, trademarks and related intellectual property. Except for the limited right to use the Platform under these Terms, no rights are transferred. If you provide suggestions or feedback, you permit us to use them without restriction or payment, provided we do not identify you publicly without permission. 12. Confidentiality Each party must protect the other party’s confidential information using reasonable care and use it only for the relationship contemplated by these Terms. This does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source. Required legal disclosures may be made after notice where lawful and practicable. 13. Australian Consumer Law Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. To the extent permitted by law, our liability for a failure to comply with a non-excludable guarantee may be limited, at our option, to supplying the services again or paying the cost of having them supplied again. 14. Liability To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings arising from the Platform. Our aggregate liability arising from the Platform in a 12-month period is limited to the fees paid or payable by you for that period. These limitations do not apply where liability cannot lawfully be limited, or to fraud, wilful misconduct, breach of confidentiality, or infringement of another party’s intellectual property rights. 15. Indemnity You indemnify us against third-party claims and reasonable costs arising from your unlawful use of the Platform, Customer Data that infringes rights, or your breach of privacy, marketing or communication laws, except to the extent caused by our breach, negligence or wilful misconduct. 16. Suspension and termination You may cancel through the subscription controls or by contacting support. We may suspend or terminate access for material breach, non-payment, unlawful use, security risk or where required by law. Where appropriate, we will give notice and a reasonable opportunity to remedy. On termination, access ends and data export and deletion follow the retention provisions above. Clauses intended by their nature to survive termination continue to apply. 17. Changes to these Terms We may update these Terms for legal, security, operational or product reasons. Material changes will be presented for acceptance before continued Platform use. The Platform records the version and time of acceptance. If you do not accept revised Terms, you must stop using the Platform and may contact support about account closure and data export. 18. Governing law and disputes These Terms are governed by the laws of South Australia, Australia. The parties will first try in good faith to resolve a dispute through written notice and reasonable discussion. Subject to any non-excludable rights, courts of South Australia have jurisdiction. 19. Contact Questions, legal notices, privacy requests and complaints may be submitted through the Help and Support area or the contact details published in our Privacy Policy. We will acknowledge complaints and aim to respond within a reasonable period.
